how to convert starCD grid (.vrt, .bnd, .cel) to Openfoam and/or fluent grid,which file should be taken for conversion from three files?

According to the help given by star4ToFoam:

$ star4ToFoam -help

Usage: star4ToFoam [OPTIONS] <pro-STAR prefix>
options:
-ascii write in ASCII instead of binary format
-case <dir> specify alternate case directory, default is the cwd
-noFunctionObjects
do not execute functionObjects
-scale <factor> geometry scaling factor - default is 0.001 ([mm] to [m])
-solids retain solid cells and treat them like fluid cells
-srcDoc display source code in browser
-doc display application documentation in browser
-help print the usage

convert pro-STAR (v4) mesh to OpenFOAM

Using: OpenFOAM-2.0.x (see www.OpenFOAM.org)

So basically you need the 3 files, but only need to tell star4ToFoam the name of the file (without the extension nor the dot).
